STANDARD TERMS AND CONDITIONS OF SALE

    1. Precedence of Terms. The client expressly waives the application of its own standard terms and conditions, regardless of whether they were issued after these Terms and Conditions of Sale. Any deviation from these terms must be agreed upon in writing by Vala Sciences prior to acceptance.
    2. Payment Terms. Invoices are payable within 30 days, unless otherwise specified on the invoice or purchase order. In the event of late payment, Vala Sciences reserves the right to apply a fixed interest charge of 10% on the outstanding balance. Services may be suspended without prior notice if payment is delayed.
    3. Debt Recovery. If payment remains outstanding beyond 60 days from the due date, Vala Sciences may engage a third-party debt recovery service. All associated legal and recovery costs will be borne by the client.
    4. International Orders. All international orders must be prepaid in full prior to shipment or service delivery. Vala Sciences reserves the right to withhold fulfillment of any international order until payment has been received and confirmed. Any delays or costs associated with international payment processing are the sole responsibility of the client.
    5. Withholding Taxes. In jurisdictions where withholding taxes apply, the client is responsible for remitting such taxes directly to the relevant authorities. Vala Sciences shall receive the full invoice amount, exclusive of any local tax obligations. Under no circumstances will Vala Sciences assume responsibility for tax-related costs arising from the client’s local legislation.
    6. Service Commitment. Vala Sciences commits to delivering high-quality services within agreed timelines. However, this commitment does not constitute a guarantee of specific outcomes. Vala Sciences shall not be held liable as a third party in any claims initiated by the client’s end users or customers. 
    7. Claims and Notifications. To be considered valid, any claims must be submitted to Vala Sciences within 10 days of goods delivery or service completion. Claims submitted outside this window may not be accepted.
    8. Governing Law. All contractual relations will be governed exclusively by the laws of the United States of America.
